Job Description
The Corporate Counsel will work closely with the General Counsel to provide comprehensive legal support across the organization. Acting as a trusted advisor to business teams and key stakeholders, this role will help navigate complex and evolving legal issues while delivering practical, business-focused legal solutions.

Key Responsibilities
- Draft, review, and negotiate a variety of commercial contracts, including client and vendor agreements.
- Support internal licensing processes for liquor and tobacco across multiple jurisdictions—partnering with local agencies and outside counsel to ensure compliance and timely renewals.
- Assist the General Counsel in managing pre-litigation and litigation matters, including coordination with outside counsel, case strategy, budgeting, and resolution.
- Provide support on corporate governance activities, including drafting and maintaining internal corporate documents.
- Build strong, collaborative relationships with senior leadership, business units, and the broader legal team to advise on a wide range of legal issues.
- Monitor legal and regulatory developments relevant to the business and proactively identify potential risks and opportunities.
- Partner with the General Counsel on legal, compliance, and regulatory matters to align legal strategies with business objectives.
Qualifications
- Juris Doctor (JD) from an ABA-accredited law school.
- Active member in good standing of any U.S. state bar.
- Minimum of 3 years of experience in a law firm and/or in-house counsel role with exposure to operational and commercial transactional work (in-house experience strongly preferred).
- Strong analytical and communication skills with the ability to translate complex legal concepts into actionable business advice.
- Proven ability to manage multiple priorities, make sound decisions under pressure, and work independently.
- Litigation or litigation management experience preferred (federal/state court, arbitration, or agency proceedings).
- Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
- Willingness to travel up to 5%.
